A global pharmaceutical acquisition has crossed a crucial ownership hurdle, bringing Sun Pharma one step closer to adding Organon to its international healthcare platform.
Sun Pharmaceutical Industries Limited on Friday announced that stockholders of Organon & Co. have approved the proposals relating to the previously announced merger transaction, under which Organon is expected to become a wholly owned subsidiary of Sun Pharmaceutical Holdings USA, Inc., an indirect wholly owned subsidiary of Sun Pharma.
The shareholder approval marks a significant milestone in the proposed transaction, which now moves closer to completion.
Organon shareholders back proposed merger
Under the proposed transaction, Organon is expected to become a wholly owned subsidiary of Sun Pharmaceutical Holdings USA.
The approval by Organon stockholders represents an important step in the transaction process and follows the previously announced acquisition proposal.
The deal remains subject to the satisfaction of the remaining customary closing conditions, including applicable regulatory approvals.
Regulatory clearances remain the next key milestone
While shareholder approval strengthens the transaction’s momentum, the proposed acquisition is not yet complete.
Sun Pharma said the transaction remains subject to the fulfilment of the remaining customary closing conditions, including approvals from relevant regulatory authorities.
The company has directed stakeholders to its announcement dated April 27, 2026, for additional information regarding the proposed transaction.
Sun Pharma’s global platform in focus
The proposed acquisition marks another significant step in Sun Pharma’s efforts to strengthen its global pharmaceutical and healthcare presence.
With shareholder approval now secured, investor attention will shift to the remaining regulatory and closing processes and the potential strategic implications of bringing Organon under Sun Pharma’s US subsidiary structure.
The transaction, once completed, is expected to add another important dimension to Sun Pharma’s global growth strategy.
