  • Investors to collectively hold ~5.54% after three tranches, with final tranche expected by July 2027

NE AVIATION BUREAU
AHMEDABAD, SEPT 9

India’s airport growth story is getting a supersonic capital boost. Adani Airport Holdings Limited (AAHL) is set to raise nearly USD 1 billion (₹9,825 crore) of fresh primary equity from a marquee consortium comprising Alpha Wave Global, Premji Invest, Temasek and BlackRock-managed funds, putting a powerful institutional stamp on the country’s expanding aviation infrastructure opportunity.

The transaction values AAHL at a pre-money equity valuation of approximately USD 18 billion, creating a significant external institutional valuation benchmark for one of India’s largest private airport platforms. Upon completion of all three tranches, the four investors will collectively hold approximately 5.54% in AAHL.

The fund infusion comes as India’s aviation market enters a high-growth phase, with rising passenger traffic, airport capacity requirements and expanding opportunities beyond the aeronautical business.

Capital to build airports—and the cities around them

The fresh capital will be deployed across three strategic priorities: airport modernisation and capacity expansion; development of integrated Adani Airport City ecosystems; and scaling ground handling and other non-aeronautical businesses.

AAHL plans to increase its network’s capacity to serve approximately 200 million passengers annually. Its Airport City strategy will initially encompass around 22 million sq ft of mixed-use development, adding commercial and other city-side revenue opportunities around its airports.

The strategy seeks to transform airports from transportation gateways into broader economic ecosystems, combining aviation infrastructure with retail, commercial, hospitality and other passenger-facing businesses.

Four marquee names signal institutional confidence

The participation of Alpha Wave Global, Premji Invest, Temasek and BlackRock-managed funds gives the transaction a strong global-institutional dimension, bringing long-duration capital into India’s airport infrastructure story.

AAHL and the investors have entered into a Share Subscription Agreement and Shareholders’ Agreement, under which the new equity will be subscribed in three tranches. The final tranche is expected to be completed by July 2027, subject to customary conditions and applicable approvals.

The transaction follows Adani Enterprises Limited’s successful ₹15,000-crore QIP in July 2026, described as India’s largest QIP by a non-financial corporate, reinforcing the Adani portfolio’s access to large pools of domestic and international institutional capital.

‘Invest ahead of growth’—Jeet Adani

“This partnership marks an important milestone in building out the Adani Airports platform, and we are privileged to have such marquee, long-term investors alongside us on this journey,” said Jeet Adani, Non-Executive Director, Adani Airport Holdings Limited.

“India’s aviation sector is one of the most powerful multipliers of the country’s GDP growth. Every expansion in air connectivity catalyses trade, tourism, employment and regional development well beyond the airport gate. With the backing of these partners, we will continue to invest ahead of that growth, scaling our infrastructure, city-side developments and non-aeronautical businesses to build one of the world’s leading integrated airport platforms.”

AAHL eyes global-scale airport platform

Arun Bansal, CEO, Adani Airport Holdings Limited, said the company’s ambition was to take AAHL to global scale.

“We will continue to build capabilities within AAHL to scale it into the world’s largest airports platform,” said Arun Bansal, CEO, Adani Airport Holdings Limited. “This ambition is buoyed by the exponential growth opportunities across India, the rising spending power of the Indian consumer, and the momentum of our city-side developments as powerful economic catalysts in the country’s major urban centres. We are deeply grateful to our partners for their confidence and look forward to continuing on this path together as we build a truly world-class airport platform for India.”

The transaction is subject to customary conditions precedent, including receipt of applicable approvals.
