From empowering lakhs of online sellers to inviting millions of investors aboard its next growth journey, Shiprocket Limited is preparing for the biggest delivery in its corporate history. The Temasek-backed e-commerce enablement powerhouse on Friday unveiled its ₹1,617.5-crore Initial Public Offering (IPO), aiming to accelerate India’s booming digital commerce ecosystem through artificial intelligence, logistics technology and full-stack merchant solutions. Positioned as a one-stop growth partner for D2C brands and MSMEs, the company believes its differentiated business model will continue to keep it ahead in an increasingly competitive marketplace.

Shiprocket Limited will open its Initial Public Offering (IPO) for public subscription on Wednesday, August 12, 2026, and close on Friday, August 14, 2026, while the Anchor Investor portion will open on Tuesday, August 11.

The company has fixed the price band at ₹92-97 per equity share of face value ₹10 each. The floor price is 9.2 times the face value while the cap price is 9.7 times the face value.

Investors can bid for a minimum of 154 equity shares and thereafter in multiples of 154 shares.

The public issue comprises a fresh issue aggregating up to ₹885.50 crore and an Offer for Sale (OFS) of up to ₹732 crore, taking the total issue size to ₹1,617.5 crore.

At the upper end of the price band, Shiprocket is expected to command a post-issue market capitalisation of about ₹7,058 crore, while at the lower end its valuation is estimated at approximately ₹6,739 crore.

The proceeds from the fresh issue will primarily be utilised to fuel the company’s next phase of expansion. Around ₹365.60 crore has been earmarked for platform expansion and business growth initiatives, ₹205.80 crore for marketing across core and emerging businesses, and ₹159.80 crore for strengthening technology infrastructure and capabilities.

The company will also utilise ₹210 crore towards repayment or prepayment of certain outstanding borrowings together with related interest obligations. The balance will be deployed for strategic acquisitions, inorganic growth opportunities and general corporate purposes.

The Offer for Sale will enable existing shareholders Lightrock, Tribe Capital, Moore Strategic Ventures, Agility International Investment, Gautam Kapoor, Saahil Goel and Vishesh Khurana to partially dilute their holdings.

Backed by marquee global investors including Temasek and Zomato, Shiprocket has evolved from a shipping solutions provider into one of India’s leading full-stack e-commerce enablement platforms, serving thousands of Direct-to-Consumer (D2C) brands and Micro, Small and Medium Enterprises (MSMEs).

The company operates through two strategic business verticals. Its Core Business offers comprehensive domestic shipping solutions, including AI-powered logistics allocation, order management, shipment tracking and multi-modal transportation services. Its Emerging Business comprises cross-border shipping, fulfilment, cargo logistics, hyperlocal deliveries, advertising and marketing solutions, and capital solutions that help merchants scale faster.

Addressing concerns over increasing competition in India’s logistics and e-commerce enablement ecosystem, Shiprocket Limited Managing Director & Chief Executive Officer Saahil Goel asserted that the company’s integrated platform gives it a sustainable competitive edge.

Replying to an exclusive query from Navjeevan Express on how Shiprocket differentiates itself from established players such as Amazon, Flipkart, Delhivery and several SaaS providers, Goel said:

“Our business model is entirely different from all other players. We deliver the entire gamut of services to our clients under one roof.”

He said Shiprocket’s technology-driven ecosystem enables merchants to manage logistics, fulfilment, cross-border commerce, customer engagement, marketing and financial services seamlessly through a single platform, creating a unique value proposition for businesses.

Highlighting the company’s customer profile, Goel said MSMEs continue to remain Shiprocket’s largest customer segment.

“MSMEs remain Shiprocket’s largest customer base. But we do not have the data of Gujarat-based MSMEs now,” he said while responding to another query.

Shiprocket follows an asset-light, technology-led operating model, leveraging a vast partner ecosystem while continuously investing in artificial intelligence, automation and digital capabilities to enhance customer experience and operational efficiency.

Financially, the company maintained healthy business momentum during FY26.

Total income increased 24% year-on-year to ₹2,077.42 crore, compared with ₹1,674.82 crore in FY25.

Although the company remained loss-making, its operating performance continued to improve. The consolidated net loss widened marginally to ₹79.25 crore from ₹74.45 crore, while the EBITDA loss narrowed to ₹16.56 crore from ₹17.16 crore, reflecting improving operational efficiencies.

Shiprocket’s net worth increased to ₹1,524.29 crore as on March 31, 2026, while total borrowings declined marginally to ₹242.01 crore from ₹244.67 crore a year earlier.

As per SEBI regulations, 75% of the issue has been reserved for Qualified Institutional Buyers (QIBs), 15% for Non-Institutional Investors (NIIs) and 10% for Retail Individual Investors (RIIs).

Shiprocket had confidentially filed its draft IPO documents with SEBI in May before receiving the market regulator’s approval to launch the issue.

The company’s equity shares are proposed to be listed on both the BSE and NSE on August 19, 2026.

Axis Capital Limited, BofA Securities India Limited, JM Financial Limited and Kotak Mahindra Capital Company Limited are the Book Running Lead Managers to the issue, while KFin Technologies Limited is the registrar.
