That thought lies at the heart of When Organisations Win – Governance, Trust and the Values of Equitas Small Finance Bank, a new book that seeks to take the conversation on corporate governance well beyond compliance checklists and regulatory prescriptions.

Equitas Small Finance Bank on Monday launched the book at Equitas Towers, Chennai, offering readers an inside view of the institution’s governance journey and the values, decisions and behaviours that have shaped its evolution.

Authored by Dr CA Sangeeta Shankaran Sumesh, CFO, business and leadership coach, author, speaker and Independent Director, the book explores Equitas’ journey through a series of conversations with P N Vasudevan, Managing Director & Founder, Equitas Small Finance Bank.

At its core, the book makes a compelling proposition: governance is not merely about the rules an organisation follows; it is about the choices it makes, the behaviour it demonstrates and the values it refuses to compromise.

Beyond governance as a rulebook

The book looks at governance through the ‘Frames Approach to Governance’, a philosophy that encourages organisations to view governance through multiple frames, identify the issues and challenges emerging from each perspective and develop appropriate action plans.

The result is not a static governance structure but a dynamic model that evolves with the organisation, its environment and its responsibilities.

The book examines several such frames, including Board-management alignment, sensitivity to regulatory signals, communication with the RBI, learning from the mistakes of others, customer-centric governance, business model, credit risk, technology, operational controls, investor relationships, ethical leadership and an organisation’s impact on society.

In doing so, it shifts the governance conversation from ‘Are we compliant?’ to ‘Are we making the right choices?’

A journey shaped by choices

Through conversations with Vasudevan, the book brings alive experiences and decisions from Equitas’ early days as a microfinance institution to its transformation into a Small Finance Bank.

It examines how governance considerations influenced business decisions along the way, while highlighting the importance of questioning established practices, recognising emerging risks and remaining sensitive to the interests of multiple stakeholders.

For Vasudevan, governance is something that must constantly evolve.

“Governance is not a destination. It is a continuous journey. As an organisation evolves, its governance framework also needs to evolve.”

He said the Frames approach had helped Equitas look at governance from multiple perspectives and continuously challenge itself to improve.

“The Frames approach has helped us look at governance from multiple frames and continuously challenge ourselves to do better. We hope to keep evolving our governance model in tune with the changing times.”

When does an organisation truly win?

The book’s most intriguing question is perhaps its title itself: When does an organisation win?

Is winning synonymous with growth, profitability and business performance? Or should the definition be broader—embracing trust, integrity, responsible leadership, customer interest, stakeholder confidence and the ability to create enduring value for society?

It is this wider definition of organisational success that the book invites readers to consider.

For Dr CA Sangeeta Shankaran Sumesh, the book itself grew out of curiosity.

“My journey with Equitas began with curiosity. Small experiences made me wonder about the governance philosophy behind the organisation.”

When Equitas invited her to write the book, she saw an opportunity to explore that curiosity through conversations with Vasudevan and a deeper understanding of the Bank’s governance journey.

What emerged, she said, was a perspective of governance not simply as rules and compliance, but as choices, values and behaviours.

“Through this journey, I realised that governance comes alive in the choices an organisation makes, especially when doing the right thing, even when nobody is watching.”

And therein lies one of the book’s strongest messages: doing the right thing is not always the easiest thing to do.

The ‘WOW’ behind When Organisations Win

The title carries another layer of meaning.

The W-O-W in When Organisations Win captures an aspiration—organisations that create meaningful impact and earn the trust of their stakeholders should be capable of making people say “WOW.”

That “WOW” does not arise merely from financial performance. It emerges when governance, values and responsible leadership are repeatedly chosen—even when there is no applause for doing so.

“When Organisations Win encourages leaders to look at governance through a wider lens and reflect on what it could mean in their own organisations,” Sumesh said.

The book therefore presents the Equitas experience not as a prescription that every organisation must replicate, but as one journey and one approach designed to stimulate reflection, questioning and learning.

A book for leaders—and future leaders

When Organisations Win is aimed at business leaders, Board members, Independent Directors, bankers, investors, students, aspiring leaders and anyone seeking to understand corporate governance beyond the conventional boundaries of compliance.
