The Indian gems and jewellery industry may be heading towards a new phase in which the balance sheet, boardroom and governance architecture become as important as the showroom, craftsmanship and brand.

Against this backdrop, Valora Advisors has launched an IPO-focused strategic advisory platform aimed at helping jewellery manufacturers and retailers strengthen their businesses, institutionalise their operations and systematically prepare for potential capital-market opportunities.

The initiative is built around the philosophy “ASSESS, PREPARE. ACHIEVE”, with the emphasis firmly placed on getting a business IPO-ready before contemplating an IPO itself.

The platform comes at a time when jewellery companies are increasingly accessing public markets. SEBI’s public-issue records for 2026 include filings involving jewellery businesses such as Deepa Jewellers and SMR Jewels, underscoring the continuing presence of the sector in the capital-market pipeline.

Five-member team to drive the initiative

Valora Advisors’ team comprises Govind Verma, Founder and Chief Mentor; Sanjay Shah, Advisor; Mohan Lalwani, Legal Advisor; Kalpesh Dave, Advisor; and Chintan Shah, Chief Analytics.

The platform is designed particularly for enterprises that have grown from family-owned or entrepreneur-led operations into sizeable manufacturing, retail or branded businesses but now need stronger institutional systems to support their next phase of expansion.

The underlying proposition is straightforward: a successful private business and a capital-market-ready company are not necessarily the same thing.

As businesses expand their manufacturing capacities, retail networks, brands and geographical reach, the need for transparent reporting, financial controls, corporate governance, regulatory compliance, documentation and clearly defined management structures becomes increasingly important.

‘IPO should be the outcome, not the starting point’

Govind Verma said the Indian gems and jewellery industry had built substantial businesses through entrepreneurship, skills and generations of experience.

“These enterprises are entering their next phase of growth and professional systems, governance and strategic planning will become increasingly important.”

He said the platform would help entrepreneurs understand where their businesses currently stand, identify gaps and develop practical roadmaps to build stronger organisations.

Verma’s more pointed message is that entrepreneurs should not begin with the IPO.

“IPO should be seen as a result of professional preparedness rather than a starting point.”

Before accessing the capital markets, he said, a company needs appropriate systems, financial discipline, governance and scalability.

“Our role is to help businesses undertake that preparedness in a structured manner,” he added.

The approach reflects an increasingly important reality for companies considering a public issue: the IPO process involves considerably more than raising capital. It also places greater demands on disclosure, governance, financial reporting, compliance and institutional accountability.

‘Assess’ first, ‘Achieve’ later

Valora Advisors has divided its framework into three stages.

ASSESS involves evaluating the company’s financial, structural, operational, governance, compliance and strategic position and identifying areas requiring attention.

PREPARE focuses on strengthening those areas through improved systems, corporate structures, financial processes, governance practices, compliance mechanisms and management capabilities.

ACHIEVE is intended to support the company’s progression towards a potential IPO in coordination with relevant SEBI-registered intermediaries and other professional advisers, subject to applicable eligibility criteria, regulatory requirements and market conditions.

The architecture is significant because it attempts to shift the IPO conversation from “When can we list?” to “Are we ready to list?”

Jewellery sector’s traditional strength meets institutional discipline

Sanjay Shah, Advisor and associated with the Jewellery Maker Welfare Association, said the industry had a strong base of entrepreneurial and family-managed businesses that had made significant contributions to manufacturing, employment and trade.

“As these businesses grow, professional financial systems, documentation, governance and management practices can become important enablers of sustainable expansion.”

He said greater preparedness could also help entrepreneurs assess opportunities arising from new markets, technology, retail expansion and institutional capital.

That transition could be particularly relevant for businesses whose growth has historically depended heavily on promoter knowledge, family relationships and informal operating systems.

The challenge is not to discard that entrepreneurial DNA but to complement it with systems capable of supporting scale.

Why the timing matters

India’s gems and jewellery sector has traditionally been dominated by family-owned and entrepreneur-led businesses, many of which have developed strong brands, distribution networks and domestic as well as international operations.

As these businesses scale, however, institutional investors and public markets demand a different degree of visibility and accountability.

The capital-market journey can bring opportunities for growth capital, brand building, geographical expansion and greater institutional visibility. But it also requires businesses to demonstrate that their systems can withstand scrutiny beyond the promoter group.

SEBI’s public-issue records provide evidence of continuing activity in the sector. In 2026, for instance, the regulator’s records include public-issue filings for jewellery companies, including Deepa Jewellers and SMR Jewels.

That makes the question of preparedness increasingly relevant for the wider industry.

Beyond IPO: building businesses that can scale

The more interesting aspect of the Valora initiative may ultimately lie beyond the IPO itself.

For a jewellery manufacturer or retailer, stronger accounting systems, documented processes, governance structures, compliance systems and professional management can improve the business even if an IPO is never pursued.

In that sense, an IPO becomes one possible destination rather than the sole measure of success.

The platform’s “ASSESS. PREPARE. ACHIEVE” philosophy seeks to capture precisely that progression — first understanding the enterprise, then strengthening its institutional foundations and finally evaluating whether and when the capital markets are appropriate.

For an industry built on gold, gems, craftsmanship and generations of trust, the next stage of transformation may therefore be less about changing what jewellery businesses sell and more about changing how those businesses are structured to grow.

The emerging message from Valora Advisors is clear: before a family business can become a listed company, it must first learn to operate like an institution.
