Tata at a crossroads: Chandra gets five more years, Trusts call reappointment a ‘legal nullity’

One of India Inc’s most closely watched boardrooms has erupted into an extraordinary governance showdown. N Chandrasekaran, who had decided weeks ago not to seek another term as Executive Chairman of Tata Sons, has agreed to stay on for five more years after the Tata Sons Board requested him to reconsider—but the Tata Trusts, the conglomerate’s majority shareholder, have challenged the validity of that decision, setting the stage for a potentially consequential corporate-governance battle.

The Tata Sons Board on Thursday resolved by majority vote to reappoint Chandrasekaran as Executive Chairman for another five-year term after his current tenure expires on February 20, 2027. The Board also decided to initiate steps to comply with applicable Reserve Bank of India (RBI) guidelines and seek guidance from the RBI, Tata Trusts and other stakeholders on compliance requirements.

But almost immediately, the Tata Trusts rejected the development, maintaining that Chandrasekaran’s reappointment resolution was illegal and that his August 12 decision not to offer himself for reappointment had already been accepted and had attained finality.

From unanimity to a 4–1 vote

The sequence leading to Thursday’s dramatic vote began with the July 28, 2025 unanimous resolution of Tata Trusts, which expressed appreciation for Chandrasekaran’s stewardship of the Tata Group since 2017 and resolved that he be reappointed as Executive Chairman for another five-year term after expiry of his then-current tenure.

Tata Sons subsequently agreed in principle in September 2025 to reappoint Chandrasekaran. However, when formal approval was considered in February 2026, the Board did not achieve unanimity and deferred the matter. Discussions followed at Board meetings in May and June, but no resolution was reached.

On August 12, 2026, Chandrasekaran informed the Board that he would not offer himself for reappointment after his current term.

The Tata Trusts said they formally accepted that decision the following day and advised Tata Sons to begin the process of constituting a Selection Committee to identify a successor, in accordance with the Articles of Association.

The Trusts said Chandrasekaran’s decision was “freely taken, clearly expressed and not the outcome of any process of review”.

Then came the September 3 intervention

The leadership story took another turn on September 3, when the Nomination and Remuneration Committee (NRC) of Tata Sons considered Chandrasekaran’s letter and the question of his reappointment.

After deliberation, the NRC unanimously resolved to request him to reconsider his decision and recommended his reappointment at the next Board meeting.

On Thursday, Chandrasekaran accepted that request.

The Tata Sons Board then voted four in favour and Noel Tata against the proposal, according to the Tata Trusts’ statement.

The Board consequently declared Chandrasekaran reappointed for another five-year term.

Trusts challenge the legality

The Tata Trusts, however, have taken a sharply different position.

The Trusts said their position remained unchanged and described the reappointment resolution as a “legal nullity”, citing provisions of the Articles of Association of Tata Sons.

“The resolution seeking to reappoint Mr N Chandrasekaran in the Board meeting today, with four Directors voting in favour and Mr Noel Tata against, was a legal nullity in view of the provisions of the Articles of Association of Tata Sons,” the Trusts said.

According to the Trusts, the Board cannot lawfully hold a meeting or pass a resolution concerning the Chairman’s appointment or reappointment unless both nominee directors are present, and such a resolution cannot validly be passed unless both nominee directors vote in favour.

Because Noel Tata, one of the Trust nominee directors, voted against the proposal, the Trusts said the resolution was “legally void and without any basis”.

The Trusts also said Noel Tata submitted a legal opinion obtained from Justice Dr DY Chandrachud, former Chief Justice of India, supporting the correctness of their position. This is an assertion contained in the Trusts’ statement; the legal opinion itself was not independently reviewed in the material available for this report.

A decision the Trusts say cannot be reversed

The Trusts have also challenged the circumstances surrounding the reversal of Chandrasekaran’s August decision.

“Once such a decision has been publicly communicated, it has consequences which cannot be afterwards undone, since the Group’s employees, its lenders and counterparties, the market and the majority shareholder have all proceeded on it,” the Trusts said.

The Trusts said they had already accepted Chandrasekaran’s decision and advised Tata Sons to commence the successor-selection process.

The competing positions now leave an important corporate-governance question at the centre of the Tata Group: does the Tata Sons Board’s majority vote settle the leadership question, or do the Articles of Association require the consent of the Trust nominees in the manner asserted by Tata Trusts?

That question could ultimately require formal legal and regulatory resolution if the two sides remain divided.

Leadership meets the listing question

The confrontation comes at a particularly sensitive moment for Tata Sons.

The RBI has classified Tata Sons as an upper-layer non-banking financial company, a status that carries listing-related regulatory requirements. Earlier this week, the RBI rejected Tata Sons’ request to deregister as an NBFC, reviving the prospect of a listing and prompting Tata Group companies’ shares to react in the market. Reuters reported that the RBI’s decision could compel Tata Sons to pursue a public listing.

The leadership dispute therefore intersects with a larger strategic question over the future structure of Tata Sons, including its relationship with the charitable Trusts that collectively hold about 66% of the holding company, according to Reuters.

The Tata Sons Board said it would initiate steps to comply with applicable RBI guidelines and seek guidance from the RBI, Tata Trusts and other stakeholders.

The extraordinary Tata paradox

The immediate irony is striking: the man who had decided not to seek another term has now been reappointed after the Board asked him to reconsider—only for the majority shareholder to challenge the validity of that very reappointment.

Chandrasekaran has led Tata Sons since 2017 and his continuation would provide leadership continuity across a sprawling group undergoing major investments and facing challenges in businesses ranging from automobiles and aviation to technology and new-age manufacturing. Reuters reported that the Board’s decision was also viewed by markets as reducing leadership uncertainty.

But continuity now comes with a governance question that cannot easily be wished away.

The extraordinary Tata story has therefore moved from succession planning to a test of the relationship between the Board, its Trust nominees, shareholder rights and the Articles governing one of India’s most influential business groups.
